Purchase Terms and Conditions

Acceptance of Terms

By checking the “I Agree” box during online checkout, or by signing a written contract for the purchase of any product or service from AMPTRA CHARGING (“AMPTRA,” “we,” “our,” or “us”), the purchaser (“Customer,” “you,” or “your”) acknowledges and agrees to be bound by these Terms and Conditions (the “Agreement”).
If you do not agree to these Terms, you must not place an order or make any payment.
AMPTRA may update these Terms from time to time, and the version in effect on the date of acceptance (online or written) will govern that purchase.
Customer represents and warrants that they are at least eighteen (18) years old and have the legal authority to enter into this Agreement on behalf of themselves or the entity they represent.

Payment & Orders

  1. Order Placement
    By submitting an order through AMPTRA’s online checkout, by email, or by signing a written order form, the Customer is offering to purchase the products or services specified in the order.
    AMPTRA reserves the right to accept or reject any order in its sole discretion.

  2. Payment Terms
    Full payment is due at the time of order unless otherwise agreed in a written contract signed by AMPTRA.
    All prices are in U.S. dollars and exclude taxes, duties, and shipping charges, which are the Customer’s responsibility unless otherwise stated.

  3. Payment Methods
    AMPTRA accepts the payment methods displayed at checkout or stated on the invoice.
    By providing payment information, the Customer authorizes AMPTRA (or its payment processor) to charge the full order amount to the designated payment method.

  4. Price and Availability
    Prices and product availability are subject to change without notice before acceptance of an order.
    AMPTRA may correct pricing or typographical errors and cancel any affected order with notice to the Customer and a refund of any amounts paid.

  5. Order Confirmation
    An order is not binding on AMPTRA until the Customer receives a written confirmation or paid invoice from AMPTRA.

Delivery / Risk of Loss

  1. Shipping Method
    Products will be shipped using the method selected by AMPTRA unless otherwise agreed in writing.
    Shipping dates are estimates only and are not guaranteed.

  2. Transfer of Title and Risk
    Title to the products and risk of loss or damage pass to the Customer upon AMPTRA’s delivery of the products to the carrier at AMPTRA’s shipping point.
    AMPTRA is not responsible for any loss, damage, or delay occurring after delivery to the carrier.

     

Inspection on Receipt
The Customer must inspect all shipments immediately upon receipt and notify AMPTRA in writing of any shortage, damage, or visible defect within seventy-two (72) hours of delivery, as provided in the Refund Policy.

 

Inspection & Acceptance

  1. Immediate Inspection
    The Customer must inspect all products and services immediately upon delivery or activation and verify that the shipment and installation conform to the order.

  2. Defect Notice
    Any claim for shortage, damage, or material defect must be reported to AMPTRA in writing within seventy-two (72) hours of delivery or activation (whichever occurs first).
    Notice must be sent by email to the Customer’s assigned Partnership Manager or to support@amptracharging.com and must include reasonable proof of the claimed defect.

  3. Acceptance of Goods
    If no written notice is received within the seventy-two (72) hour period, the products and services will be deemed accepted as delivered and in full conformity with the order, and the Customer will have no right to reject or revoke acceptance.

  4. Remedy for Timely Claims
    If timely notice is provided, no refund will be given; however, AMPTRA will, at its option, repair or replace the defective unit and cover reasonable round-trip shipping costs, as outlined in the Refund Policy.

Taxes

All prices listed by AMPTRA CHARGING LLC are exclusive of applicable taxes, duties, tariffs, or governmental fees unless expressly stated otherwise.
The Customer is solely responsible for paying any and all sales, use, value-added (VAT), goods and services (GST), excise, customs, import, or similar taxes imposed by any governmental authority in connection with the purchase, delivery, or use of AMPTRA products or services.
If AMPTRA is required to collect or remit any such taxes on the Customer’s behalf, those amounts will be added to the invoice and shall be payable by the Customer in addition to the purchase price.

Cancellation Policy

All payments are final and non-cancellable once submitted.
Orders may not be cancelled, deferred, or modified without AMPTRA CHARGING LLC’s prior written consent, which may be withheld at AMPTRA’s sole discretion.
If AMPTRA cancels an order for fraud, non-payment, or regulatory reasons, AMPTRA will refund any amounts the Customer has paid; such refund is the Customer’s sole and exclusive remedy for AMPTRA-initiated cancellation and does not grant the Customer any right to cancel or obtain a refund for any other reason.

Refund / Defect Remedy

All sales are final and non-refundable.

Except as expressly provided in the Limited Warranty during the Warranty Period, all sales are final and non-refundable.
The Customer must inspect all products and services immediately upon delivery or activation and report any material defect in writing within seventy-two (72) hours of delivery or activation (whichever occurs first). Notice must be sent by email to the Customer’s assigned Partnership Manager or to support@amptracharging.com and must include reasonable proof of the claimed defect.
If timely notice is provided, no refund will be given; however, AMPTRA will, at its option, repair or replace the defective unit and cover reasonable round-trip shipping costs.
After the seventy-two (72) hour period, any service not covered by the Limited Warranty is billable, including shipping and handling, unless AMPTRA agrees in writing to waive such charges. Unauthorized returns may be refused.

Limited Warranty

AMPTRA CHARGING LLC (“AMPTRA”) warrants that its hardware products will be free from material defects in materials and workmanship under normal use for a period of twelve (12) months from the date of delivery (the “Warranty Period”). During the Warranty Period, if a product proves to be materially defective, AMPTRA will, at its sole option, repair or replace the defective product with a new or refurbished unit of equal or greater value. No refunds will be provided under this Limited Warranty. This Limited Warranty does not cover normal wear and tear, cosmetic damage, consumables (including batteries and cables), damage caused by accident, misuse, neglect, improper installation, unauthorized repairs or modifications, or damage resulting from use with non-AMPTRA equipment or third-party services. To obtain warranty service, the Customer must notify AMPTRA in writing within the Warranty Period, provide proof of purchase, and follow AMPTRA’s return authorization instructions (an RMA may be required). Unless otherwise agreed in writing, the Customer is responsible for shipping the product to AMPTRA or its service center, and AMPTRA will cover the cost of return shipping for the repaired or replacement unit. This Limited Warranty is the Customer’s exclusive remedy, and AMPTRA disclaims all other express or implied warranties, including any implied warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law. In the event of any inconsistency between this Limited Warranty and the Refund/Defect Remedy, this Limited Warranty controls for warranty-covered defects during the Warranty Period.

Limitation of Liability

To the fullest extent permitted by law, AMPTRA CHARGING LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, loss of data, business interruption, or loss of goodwill, arising out of or related to the purchase, use, or inability to use AMPTRA products or services, even if AMPTRA has been advised of the possibility of such damages.
In all cases, AMPTRA’s total liability for any claim arising from or related to any order shall not exceed the total amount paid by the Customer for the specific product or service giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.

Governing Law & Venue

This Agreement and any dispute, claim, or controversy arising out of or relating to any purchase from AMPTRA CHARGING LLC shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.
The parties agree that the state and federal courts located in New York County, New York shall have exclusive jurisdiction and venue over any action or proceeding arising out of this Agreement, and each party irrevocably submits to the personal jurisdiction of those courts.

Force Majeure

AMPTRA CHARGING LLC shall not be liable or responsible for any failure or delay in performance, or for any loss or damage, arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, severe weather, pandemics, epidemics, war, terrorism, labor disputes, supply chain disruptions, power outages, governmental actions, or failures of carriers, shipping companies, or internet service providers.
If such an event prevents or delays performance, AMPTRA’s obligations will be suspended for the duration of the delay, and the Customer’s payment obligations will remain in effect.

Indemnification

The Customer agrees to defend, indemnify, and hold harmless AMPTRA CHARGING LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) the Customer’s purchase, possession, use, or misuse of AMPTRA products or services;
(b) any breach of these Terms and Conditions by the Customer; or
(c) any negligence or willful misconduct by the Customer or its employees, agents, or contractors.
This obligation survives delivery, acceptance, and payment, and remains enforceable to the fullest extent permitted by law.

Good Faith and Cooperation

The Customer and AMPTRA CHARGING LLC agree to act in good faith and to cooperate reasonably in carrying out their respective obligations under these Terms and Conditions.
Each party shall provide timely responses, accurate information, and reasonable assistance necessary to facilitate order processing, delivery, installation, maintenance, and any defect remedy.
Neither party shall take any action or omit to act in a manner that unreasonably hinders or delays the other party’s performance of this Agreement.​
